【経産省】社外取締役に求める「行動指針」、12の想定例を公開

（2023/7/4）

• 経産省は6月30日に「社外取締役向け研修・トレーニングの活用の８つのポイント」「社外取締役向けケーススタディ集」を公表。社外取締役の質を向上させるために、幅広く受講できる研修コンテンツを充実、適格性基準が必要性を主張し、ケーススタディでは想定される場面と対応を12個まとめた。
• 研修・トレーニングに関してはコーポレートガバナンス、経営戦略、財務・会計、コーポレートファイナンスなどの基本スキルに関する継続的な研鑽の重要性、および企業と社外取締役による研修等の受講について情報提供やサポートが必要であることを強調。
• ケーススタディ集は中期経営計画の議案、社長の後継者の検討、外部から買収提案、アクティビストファンドからの提案レター、会計不正や品質問題等の不祥事における対応など、幅広いテーマに関して、事例、解説・回答例、補足情報がまとまっている。

【フィデリティ調査】ほとんどの企業のESGは行動に裏打ちされていない

（2023/7/5）

• フィデリティ・インターナショナルのESGアナリスト調査は、ESGが多くの企業にとって単に自社のイメージアップ戦略であることを示唆。アナリストの60％が、企業のESGが行動（取り組み）に裏打ちされていないと考えてる模様。
• 調査によると、特にエネルギー業界において顕著であり、自社の取り組みがESGへの信頼性を促進する努力に繋がっていると答えたのはわずか17％だった。
• なお、脱炭素化へのコミットも低下傾向にあり、2030年までのネットゼロ目標を達成する企業の割合がグローバルで前年比-1% （2023年 24%、2022年 25%）、日本においては-4% （同27%、31%）。
• この減少は、世界経済の低迷によるストレスに企業が直面しており、長期的な持続可能性の問題ではなく、より目先の業績に焦点を当てていることが起因している。

【PUMA（グローバル）】2030年までの目標として「森林破壊のない皮革」を設定

（2023/7/6）

• 2030年までにすべての牛革を森林破壊のないことが確認されたサプライチェーンから調達することにコミット。
• この目標は、より持続可能な企業を目指すプーマの広範なESG戦略の一環。2030年までにCO2排出量を半減させる等、環境負荷を減らすための野心的な目標に関するアクションプランの一つ。
• アパレル産業は森林破壊の主な要因であり、今回のようなサプライチェーン内の森林保護はアパレル業界とって重要な一歩となる。

【三菱造船】世界初のEVバイオマス燃料輸送船を竣工し、CO2削減と船員負荷軽減に貢献

（2023/7/7）

• e5ラボと三菱造船が開発したEVバイオマス燃料輸送船「あすか」が竣工し、内航海運のCO2排出削減と船員の作業負荷軽減を実現。船舶にはポータブル運航支援システム「ナビコ」が搭載され、タブレット端末を利用した運航支援が可能。パイロット試験も開始。
• 高性能ツインスケグ船型やハイブリッド推進システムにより、CO2排出削減とゼロエミッションオペレーションを実現。また、船内快適性向上やメンテナンス削減にも貢献。
• ポータブル運航支援システム「ナビコ」の搭載により、船舶業界における環境負荷削減と持続可能性の推進が具体化。EV船の普及によりCO2排出削減が実現し、ゼロエミッションオペレーションの可能性が開かれている。さらに、運航安全性の向上や船員の作業負荷の軽減に期待。

【日本企業10社と住友林業グループ】森林ファンドへ600億円を共同出資

（2023/7/10）

• 住友林業グループが組成した森林ファンドに、日本企業10社が共同出資することを発表。出資額は600億円規模で、住友林業の傘下である米国のEastwood Forests, LLCが運営。北米の天然林を購入し適切な森林管理を行うことで、木材の販売だけでなく、CO2吸収と炭素固定を目指すカーボンクレジットの創出を計画。
• 参加企業には、ＥＮＥＯＳ株式会社、大阪ガス株式会社、東京センチュリー株式会社、日本郵政株式会社、日本郵船株式会社、芙蓉総合リース株式会社、株式会社三井住友銀行、三井住友信託銀行株式会社、ユニ・チャーム株式会社、SFCアセットマネジメント株式会社と住友林業グループ。また、三井住友銀行と住友林業も森林やカーボンニュートラルに関する取り組みにおいての業務提携が基本合意された。
• 同10社は住友林業との間でサステナビリティ分野におけるビジネス化を目的に、森林、カーボンクレジット、自然資本、インパクト評価などについて知見の共有や政策提言、ソリューションの共同開発を行うことを発表。

【10省庁】人材の多様化に向け、エン・ジャパン支援のもと大規模な中途採用人材募集を発表

（2023/7/10）

• 10省庁が同時に中途採用を実施し、民間出身者を国の中枢に迎え入れることを発表。内閣官房内閣人事局が主導する「国家公務員 経験者採用試験」において、各省庁が中途採用を行う。
• 国際情勢や国内の状況が変化するなか、柔軟な対応力を持つための人材多様化が必要。今回はエン・ジャパンが広報支援を行い、企業・NPO・国際機関での経験を活かした「係長級（事務）」のポジションを募集。会計検査院、人事院、金融庁、デジタル庁、財務省、文部科学省、厚生労働省、農林水産省、国土交通省、環境省の10省庁が参加し、合格者は希望する省庁への官庁訪問を経て採用となる。さらに、30代から50代向けの「氷河期世代」の採用も同時に実施される計画。
• 政策企画や法案作成に携わる係長級のポジションに幅広い経験を持つ人材が参画し、国の柔軟な対応力を向上させることに期待。

【METI】Pushing Outside Directors Training to Tackle Quality Improvement in Corporate Governance

(July 4, 2023)

• On June 30, METI published “Eight Key Points for Utilizing Training and Training for Outside Directors” and “A Collection of Case Studies for Outside Directors. In order to improve the quality of outside directors, the Ministry of Economy, Trade and Industry (METI) insists on systematic training, the introduction of eligibility criteria, and compiled 12 case studies of possible situations and responses.
• Regarding training, the importance of continuous study of basic skills in corporate governance, business strategy, finance and accounting, corporate finance, etc., and the need to provide information and support for companies and outside directors to take part in training programs, etc., are highlighted.
• The case studies cover a wide range of topics, including mid-term management plan proposals, consideration of a president’s successor, takeover proposals from outside parties, letters of proposal from activist funds, and revelations of scandals such as accounting irregularities and quality problems, and include case examples, sample explanations and responses, and supplementary information.

【Fidelity Survey】Most Companies Not Backing Up ESG Claims with Actions

(July 5, 2023)

• Fidelity International’s ESG Analyst Survey suggests that many companies are simply improving their image. 60% of analysts believe that companies are not backing up their ESG claims with action. This is despite the fact that companies are increasingly tying sustainability factors to remuneration and assigning board-level oversight to ESG.
• The Energy sector is particularly overstating ESG credentials with only 17% of analysts said that their companies’ actions at least match efforts to promote ESG credentials in the Energy sector.
• The percentage of companies that according to analysts will achieve their net-zero goal by 2030 decreased -1% globally (24% in 2023 and 25% in 2022) and -4% in Japan (27% and 31% in 2023 and 2022, respectively), showing a worrying trend that commitment towards decarbonization declining.

【PUMA】Setting to Deforestation-Free Leather Target to 2030

(July 6, 2023)

• Puma has committed to source all bovine leather from verified deforestation-free supply chains by 2030. This is a significant move, as the leather industry is a major driver of deforestation.
• The commitment is part of Puma’s broader ESG strategy, which aims to make the company more sustainable. Puma has set ambitious targets for reducing its environmental impact, including halving its carbon emissions by 2030.
• The commitment to deforestation-free leather is a positive step for Puma, and it is likely to be welcomed by investors and consumers. The apparel industry is a major driver of deforestation, so this commitment is a significant step towards protecting forests.

【Mitsubishi Shipbuilding】Delivers World’s First EV Biomass Fuel Carrier

(July 7, 2023)

• Asuka, an EV biomass fuel carrier developed by e5 Lab and Mitsubishi Shipbuilding, has been completed, reducing CO2 emissions and the workload of seafarers in coastal shipping. The vessel is equipped with a portable operation support system “Navico,” which enables operation support using a tablet terminal. Pilot testing also begins.
• The high-performance twin-skeg hull form and hybrid propulsion system reduce CO2 emissions and achieve zero-emission operations. They also contribute to improved onboard comfort and reduced maintenance.
• With the portable operation support system NAVICO, the promotion of environmental impact reduction and sustainability in the shipping industry takes shape: the widespread use of EV vessels reduces CO2 emissions and opens up the possibility of zero-emission operations. In addition, it is expected to improve operational safety and reduce the workload of seafarers.

【Japanese 10 Ministries】 Announces Large-Scale Mid-career Recruitment to Diversify its Workforce with en Japan inc.

(July 10, 2023)

• Ten ministries and public agencies will simultaneously conduct mid-career recruitment to welcome people from the private sector into the national center abd conduct mid-career recruitment in the “National Public Service Recruitment Examination for Experienced Personnel” led by the Cabinet Personnel Bureau, Cabinet Secretariat.
• In order to be flexible and responsive to changing international and domestic situations, Kasumigaseki’s human resources also need to diversify. This time, En Japan provides public relations support and recruits for the position of “Section Chief Level (Administrative)” with experience in corporations, NPOs, and international organizations. Ten ministries and agencies will participate in the program: the Board of Audit, the National Personnel Authority, the Financial Services Agency, the Digital Agency, the Ministry of Finance, the Ministry of Education, Culture, Sports, Science and Technology, the Ministry of Health, Labor and Welfare, the Ministry of Agriculture, Forestry and Fisheries, the Ministry of Land, Infrastructure, Transport and Tourism, and the Ministry of the Environment. Successful applicants will be hired after visiting government offices at their desired ministry. In addition, an individual program targeting people in their 30s to 50s is planned to be implemented at the same time.
• Expectations are that the participation of individuals with a wide range of experience in section chief-level positions involved in policy planning and bill drafting will improve the country’s ability to be flexible and responsive.

【10 Japanese Companies&Sumitomo Forestry Group】Jointly Invest 60 Billion Yen in a Forestry Fund Set Up 

(July 10, 2023)

• The Japanese companies have announced that they will jointly invest in a forestry fund set up by Sumitomo Forestry Group. The fund, with an investment amount of 60 billion yen, will be managed by Eastwood Forests, LLC, a U.S. company affiliated with Sumitomo Forestry. The fund will purchase existing natural forests in North America and conduct appropriate forest management, planning not only to sell timber but also to generate carbon credits for CO2 absorption and carbon fixation.
• Participating companies include Sumitomo Forestry, ENEOS, Osaka Gas, Century Tokyo, Japan Post, NYK Line, Fuyo General Lease, Sumitomo Mitsui Banking Corporation, Sumitomo Mitsui Trust Bank, Limited, Unicharm Corporation, and SFC Asset Management Co. Ltd. are included. Sumitomo Mitsui Banking Corporation and Sumitomo Forestry also reached a basic agreement to form a business alliance on forestry and carbon neutrality initiatives.
• The 10 companies also announced that they have signed a memorandum of understanding with Sumitomo Forestry for business development in the area of sustainability, and will share knowledge, make policy recommendations, and jointly develop solutions in the areas of forestry, carbon credits, natural capital, and impact assessment.
