【セブン＆アイ・ホールディングス】バリューアクトのプロキシー・チャレンジが成功、日本のコーポレート・ガバナンスにおけるESGアクティビズムの影響力を高める

- Institutional Shareholder Services（ISS）は、米投資会社ValueAct Capitalがセブン＆アイ・ホールディングスの取締役会に提案した、同社のサステナビリティ責任者であるBrittni Levinsonを含む4人の取締役候補者すべてを支持すると表明しました。
- バリューアクトは、セブン＆アイのコングロマリット構造に批判的で、いくつかの部門の業績不振と資本配分の悪さを理由に、CEOと取締役数名の交代を公然と要求してきました。
- ISSは、バリューアクトのキャンペーンを支持し、取締役の交代は正当であり、バリューアクトの候補者たちは取締役会に必要な経験と視点をもたらすとしています。バリューアクトは、これまでオリンパスやJSRで議席を獲得しており、日本企業での取締役会の経験を有しています。今後、このように、海外投資家が企業統治の改善を求めるトレンドが注目されるでしょう。
【スバル】EV市場の需要変化に対応した柔軟な生産体制を計画

- スバルは、2026年頃までに世界で年間20万台の電気自動車（EV）を販売し、2028年までにEVの年間生産能力を40万台にする目標を発表しました。
- 同社は、2025年までにEVの半分を、自社のガソリン車との混合生産ラインで、残りの半分を新工場のEV専用生産ラインで生産する予定です。
- スバルは、市場の動向や規制に対応できる柔軟な生産体制の構築を目指しています。今後、他の中堅自動車メーカーが徐々に電動化・EV化に転換していく体制づくりが期待されます。
【りそなホールディングス】投融資ポートフォリオの温室効果ガス排出量のネットゼロ宣言＆2030年度の中間目標を公表

- りそなホールディングスは投融資ポートフォリオの温室効果ガス排出量を2050 年までに実質ゼロを目指すと宣言し、その達成に向けて、電力セクターにおけるFinanced Emissionsの中間目標を公開しました。具体的には炭素強度を足元の「139gCO2e/kWh」から、2030年度に「100〜130gCO2e/kWh」へ削減する目標を設定しました。足元の炭素強度「139gCO2e/kWh」は、2030年時点の1.5℃シナリオ（NZE2050）を下回る水準です。
- また、今後の取り組みとして、電力、石油・ガス、石炭の各セクターについて、毎年Financed Emissionsの状況を開示し、エネルギー以外の重要セクターについてもFinanced Emissionsの把握と中間目標の設定を検討していくとしています。
- なお、同社はパリ協定で定める気候変動の脅威への対応強化にも賛同しています。
【ダイフク】2030年のCO2排出量削減目標を大幅に見直し、水資源および生物多様性保全に関する数値目標も設定

- 株式会社ダイフクは、2030年のCO2排出量削減目標見直し、パリ協定が求める1.5℃目標の水準に設定し、2018年比－25％としていた目標を－50.4％に変更しました。
- また、同社は廃棄物や水使用量に関しても定量的な目標も設けました。その上、使用済み製品・部品のリサイクル拡大を通して、循環型社会の形成に貢献し、自然資本への負の影響の最小化を図っていくとしています。
- TNFDの最新フレームワーク（ベータ版v0.4）が2023年3月に公開されたことに伴って、今後、CO2・GHG以外の、自然資本に関する数値目標の開示に関心が集まるでしょう。
【トヨタ自動車】子会社のデータ漏洩について再発防止策を発表
（2023/5/12）
- トヨタ自動車の子会社であるトヨタコネクティッドが、約215万人分の顧客データの一部を、誤って10年近くにわたりインターネット上で閲覧可能な状態にしていたことが判明しました。
- データには、顧客の車両番号や位置情報が含まれていたが、個人を特定できる情報ではないとトヨタは説明しています。
- トヨタは、再発防止策として監査システムの導入と運用監視の仕組みの取り入れを発表しました。

【Seven & i Holdings Co.】ValueAct’s Proxy Challenge succeeded. Increase the influence of ESG activism in corporate governance in Japan.

- Institutional Shareholder Services (ISS) announced its support for all four director candidates proposed by U.S. investment firm ValueAct Capital to the Board of Directors of Seven & i Holdings, including Brittni Levinson, Head of Sustainability at the firm.
- ValueAct has been critical of Seven & i’s conglomerate structure and has openly called for the replacement of the CEO and several directors, for the poor performance of several divisions and poor capital allocation.
- ISS supports ValueAct’s campaign and says the board changes are justified and that ValueAct’s candidates bring much needed experience and perspective to the board. ValueAct has board experience at Japanese companies, with seats on the boards of Olympus and JSR. In coming years, this trend of foreign investors demanding better corporate governance will be interesting to watch.
【Subaru】Flexible production system planned to respond to changes in EV market demand.

- Japanese automaker Subaru sets a goal of selling 200,000 electric vehicles (EVs) per year worldwide by around 2026 and an annual EV production capacity of 400,000 units by 2028.
- The company plans to produce half of its EVs by 2025 on its own mixed production line with gasoline-powered vehicles and the other half on a dedicated EV production line at the new plant.
- Subaru aims to build a flexible production system that can respond to market trends and regulations. It is expected that other medium-sized automakers will gradually shift to electrification and EVs in the future to create such a system.
【Resona Holdings, Inc.】Declaration of net zero greenhouse gas emissions for investment and loan portfolio and announcement of interim target for FY2030.

- Resona Holdings has declared its goal of achieving virtually zero greenhouse gas emissions from its investment and loan portfolio by 2050, and has released interim Financed Emissions targets for the power sector to achieve this goal. Specifically, the company has set a target to reduce its carbon intensity from the current 139 gCO2e/kWh to “100-130 gCO2e/kWh” in FY2030. The current carbon intensity of “139gCO2e/kWh” is below the 1.5°C scenario (NZE2050) as of 2030.
- As part of its future efforts, the company will disclose the status of Financed Emissions annually for the electricity, oil and gas, and coal sectors, and will also consider identifying Financed Emissions and setting interim targets for other important sectors besides energy.
- Resona Holdings also agrees to strengthen its response to the threat of climate change as stipulated in the Paris Agreement.
【Daifuku】Significantly revised GHG targets for 2030, including numerical targets for water resources and biodiversity conservation.

- Daifuku Co., Ltd. has revised its CO2 emission reduction target for 2030, setting it at the level of the 1.5°C target required by the Paris Agreement and changing the target from -25% to -50.4% compared to 2018.
- The company has also set quantitative targets for waste and water consumption. Through increased recycling of used products and parts, the company intends to contribute to the formation of a recycling-oriented society and minimize negative impacts on natural capital.
- With the release of the latest TNFD framework (beta version v0.4) in March 2023, there is a growing interest in numerical targets for natural capital other than CO2 and GHG.
【Toyota Motor】Announced measures to prevent recurrence of data breach at subsidiary.

- Toyota Connected, a subsidiary of Toyota Motor Corporation, was found to have inadvertently made some of its approximately 2.15 million customers’ data available on the Internet for nearly a decade.
- The data included the customer’s vehicle number and location, but not personally identifiable information, Toyota explained.
- Toyota announced the introduction of an auditing system and the incorporation of an operational monitoring mechanism as a measure to prevent recurrence.
